Headlines of the Week
De-SPAC M&A
MoneyLion ($ML) is to be acquired by Gen Digital ($GEN) in an all-cash deal, at $82.00 per share (6.48% premium to the closing price prior to announcement), or appx. $1B in the aggregate, plus a CVR representing a contingent right to receive $23 in GEN stock based on stock performance milestones.
A consortium of some of the largest investors in ReNew Energy Global ($RNW), including CPPIB, Masdar, and ReNew's Chairman Sumant Simha, has proposed to take RNW private at $7.07 per share, valuing the firm at $2.82B.
NewGenIVF ($NIVF) announced it has entered into a binding term sheet for a reverse merger transaction with European Wellness Investment Holdings that values European Wellness at $452M. European Wellness shareholders would own 61.6% of the combined entity upon closing.

Arogo Capital ($AOGO) entered into a binding LOI with Bangkok Tellink, a telco provider and Internet-of-Things firm
Electrified Materials (formerly American Metals), a subsidiary of American Resources, announced that it is pursuing a direct listing following the termination of its planned merger with AI Transportation ($AITR). During the merger process, American Resources stated that it "observed actions by their Chinese executives and advisors that raised significant concerns about the viability of the proposed merger," and the company intends to seek damages against AITR.

Insight Acquisition Corp. (INAQ) closed its merger with Alpha Modus ($AMOD). The combined company, Alpha Modus, will trade under the new symbols AMOD and AMODW starting Monday, Dec 16. —PR
Swiftmerge (IVCP) closed its merger with AleAnna ($ANNA). The combined company, AleAnna, will trade under the new symbols ANNA and ANNAW starting Monday, Dec 16. In connection with the merger vote, 95% redeemed, leaving 56,357 public SPAC shares ($0.7M). —SF

Extensions
Slam Corp. (OTC: $SLAMF) adjourned its extension vote from Dec 16 to Dec 18 and extended the redemption deadline to Dec 18. SLAM revised the extension proposal to three-month extension with the option to extend an additional three months on a monthly basis.
