1) Quetta (QETA) announced it entered into a definitive agreement to merge with Chinese automotive film manufacturer KM Quad at a $300 million valuation. — PR / 8-K

  • Target Details:

    • HQ: Jiujiang, China

    • Description (from PR): KM QUAD’s operating subsidiary, Jiujiang Lida Technology Co. Ltd. (“Lida Technology,” also known as “QUAD”) was founded in 2016 in China, and over the years, QUAD has become one of the largest designers and manufacturers of film products applied in the automobile, construction, furniture, and battery industry nationwide. QUAD has over 100 intellectual property rights in China and 40 employees that are dedicated to research and development exclusively, and an established vast distribution network throughout China, covering over 200 cities in China.

  • Valuation: $300M Pre-money equity value

Merger Votes / Completions

  • FTAC Emerald (FLDD) & Fold completed their merger. The combined company, Fold Holdings, will trade under the new symbols FLD and FLDDW on Nasdaq after uplisting from OTC following Nasdaq listing approval, expected on or around Feb 19. Redemption results: 71% redeemed, leaving 1,341,633 public SPAC shares ($14.9M). —SF

  • Bellevue Life Sciences (BLAC) closed its merger with OSR Holdings with the combined company, OSR Holdings, to begin trading under the ticker symbols OSRH and OSRHW on Tuesday, Feb 18. — PR

  • Western Ventures (OTC: WAVS) closed its merger with Cycurion. The combined company, Cycurion, will trade under the symbols CYCU and CYCUW starting Tuesday, Feb 18. —SF

  • Marblegate ($GATE) & DePalma set the merger vote for March 25. — SF

Deal Updates

  • Welsbach Technology Metals (WTMA) and its merger partner Evolution Metals Corp amended the BCA to, among other things, adjust the allocation of company membership units to Korea NewCo and US NewCo, modify the composition of the post-closing board of directors, and update other administrative and governance related details. —SF

  •  AltEnergy (AEAE) & Car Tech (Shinyoung Co. subsidiary) amended their merger agreement to, among other things, provide additional merger consideration in the form of warrants. This revised arrangement now includes a total consideration of $80 million, an additional $40 million in earn-out considerations, and the issuance of 6,000,000 Merger Consideration Warrants. The agreement also removed the requirement for $50 million in PIPE financing as a condition for closing. —SF

Extensions

  • DT Cloud ($DYCQ) filed a supplement to its proxy for the Feb 21 extension vote, increasing the monthly extension fee from $70,000 to $0.022 per public share. The meeting was postponed from Feb 18 to Feb 21, with the redemption deadline extended to Feb 19. — SF
